End-User License Agreement (EULA)

IMPORTANT: READ CAREFULLY
This End-User License Agreement (“Agreement”) is a legal agreement between you (either an individual or an entity) and Realix V.O.F. (“Company”) for the use of the escape room control software (Realix ERC) and the Realix hardware associated with said software (collectively referred to as the “Product”). By using, installing, or otherwise accessing the Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use or access the Product.
1. Grant of License
The Company grants you a non-exclusive, non-transferable, limited subscription-based license to use the Product solely for its intended purpose in operating a single escape room. This license is subject to compliance with the terms set forth in this Agreement and is valid only during the subscription period.
2. Restrictions
You may not:
- Modify, reverse engineer, decompile, or disassemble the Product.
- Copy, distribute, or sublicense the Product except as explicitly allowed.
- Use the Product in violation of any applicable laws or regulations.
- Circumvent the license-check process in any way.
- Use the Product without a license.
- Use the Product for more than one escape room without purchasing additional licenses (one license per escape room).
3. Ownership
The Product, including all intellectual property rights therein, is owned by the Company. This Agreement does not transfer any ownership rights to you.
4. Warranty Disclaimer
The Product is provided “AS IS” without warranty of any kind, express or implied. The Company specifically disclaims any warranties of merchantability, fitness for a particular purpose, or non-infringement.
5. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, or data, arising from or related to the use or inability to use the Product, even if advised of the possibility of such damages. You acknowledge that software and hardware can contain errors and bugs. You acknowledge that the operation of the Product may involve risks and that you assume full responsibility for any consequences arising from its use, including but not limited to loss of revenue, customer dissatisfaction, or physical injuries caused when using the Product in any way.
- The Company’s total liability for damages of any kind shall not exceed the amount paid by you for the Product for the duration of the subscription.
6. Indemnification
You agree to indemnify, defend, and hold harmless the Company from and against any claims, liabilities, damages, losses, or expenses arising from your use of the Product or violation of this Agreement.
7. Termination
The Company may terminate this Agreement immediately if you fail to comply with its terms. Upon termination, you must cease all use of the Product and destroy any copies in your possession. The license is automatically terminated at the end of the subscription period unless renewed.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of The Netherlands. Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the courts of The Netherlands.
9. Entire Agreement
This Agreement constitutes the entire agreement between you and the Company concerning the Product and supersedes all prior agreements.
By using the Product, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
